Actions Center Additional Terms of Service

If you entered into a written agreement with Google for the merchant service integrations described at Actions Center (e.g. appointments, reservations), then your use of those services are under the terms of that agreement, and not these Terms. If you haven't entered into an agreement for the merchant service integrations described at Actions Center (the "Actions Center Services"), then these Terms apply.
To use Actions Center Services, you must accept (1) the Google Terms of Service, and (2) these Actions Center Additional Terms of Service.
Please read each of these documents carefully. Together, these documents are known as the "Terms". They establish what you can expect from us as you use our services, and what we expect from you.
We encourage you to read our Privacy Policy to better understand how you can update, manage, export, and delete your information.
1. Account
You must have an Actions Center account to use the Actions Center Services. You are responsible for: (a) the information you provide in connection with the account; (b) maintaining the confidentiality and security of the account and associated passwords; and (c) any use of your account.
2. Content
By submitting content to the Actions Center Services (including data and images) ("Content") and to the extent the Content is protected by intellectual property rights, you grant to Google the license described in the "License" section of the Google Terms of Service except that the license for the Content is irrevocable.
If the Content you submit contains URLs, you grant Google the right to access, index, cache or crawl the URL(s) and the content available through such URL(s). You agree that any content collected by Google or its affiliates from these URLs is Content.
If you submit brand elements including trademarks, service marks, trade names, proprietary logos, domain names and any other source or business identifiers with the Content then you authorize Google to use those brand elements in connection with the Actions Center Services.
Nothing in these Terms requires Google to use any Content in Actions Center Services.
3. Content Requirements
If you submit Content, you're responsible for making sure that the Content:
- meets the specifications for your Actions Center Service integration as described in the Actions Center documentation (or such other URL as Google may specify),
- doesn't infringe any third party's intellectual property rights or moral rights (and, where legally possible, all such rights have been waived), and
- complies with applicable law.
4. Data Protection Terms
To the extent required by data protection laws applicable to the parties' processing of personal data under these Terms, the parties agree to the Google Controller-Controller Data Protection Terms at https://business.safety.google/controllerterms/ (the "CCT"). For Actions Center appointments integrations, Controller Personal Data as defined in the CCT includes "protected health information" within the meaning of the Health Insurance Portability and Accountability Act of 1996, as amended, and related rules and regulations.
If you engage a technology service provider to integrate your business with Actions Center Services, then you will ensure that the provider acts only as your processor with respect to any processing of personal data under these Terms. "Processor" and "personal data" have the meaning given to them in the CCT.
5. Your Obligations
If you choose to use the Actions Center Services, you must:
- have the full power and authority to accept these Terms, and
- have and maintain the necessary rights to deliver the Content and grant the permissions and licenses described in Section 2.
You must have a direct contractual relationship with all merchants included in your integration feed and be authorized to submit their Content and brand elements.
You will comply with the platform policies and integration policies applicable to your Actions Center integration as described at https://developers.google.com/actions-center/policies (collectively, the "Policies").
You can only use data provided by Google (e.g. through a Google API) to fulfill the transaction requested by a user (e.g. reservation) or as described and subject to the requirements in the documentation (e.g. marketing). You can share the data provided by Google with a Service Provider to complete the requested user transaction. A "Service Provider" is a third party you engage to assist with the fulfillment of a requested transaction (e.g. delivery providers, agents, and technology service providers).
You are solely responsible for the transactions and activities between you, your Service Providers and end customers including collecting fees, refunds, cancellations, labeling and allergen information (where relevant), product and service safety, or customer service issues.
6. Communication with Service Providers
You will only use Service Providers who have consented to receive communications from Google. You authorize Google to communicate directly with your Service Providers regarding your Actions Center Service integration.
7. Beta Features
Some Actions Center Services features are identified as "Beta" or otherwise unsupported or confidential ("Beta Features"). You may not disclose any information about non-public Beta Features.
8. Suspension
Google may suspend or terminate your access to the Actions Center Services immediately on written notice for your failure to comply with the Terms, or Policies. Google will notify you of the reason for the suspension or termination if required by applicable law, you may appeal the decision any time in the 30 days after receiving notice from Google.
9. Changes to the Terms
If we materially change the Terms or Policies, we'll give you no less than 15 days advance notice. If, following receipt of the notice, you don't wish to accept the relevant change, you must notify us within 15 days and, as soon as reasonably possible, we will confirm if you can remain subject to the Terms or Policies (as applicable) in effect before the relevant change (a "Decision Notice"). If we confirm that you can't remain on the Terms or Policies (as applicable) in effect before the change, you can terminate the Terms, and if you don't terminate, the change will apply 15 days after you receive the Decision Notice.
10. Terms; Termination
We may terminate these Terms at any time by providing 30 days advance notice. You can terminate your use of Actions Center Services at any time by providing us with 30 days advance notice.
11. Questions or complaints
If you have any questions or complaints regarding Actions Center Services, or if you believe that your access to Action Center Services has been suspended or terminated in error, you can contact us.
12. Settle Disputes
If you're a business user based in the EU or the United Kingdom, you can also apply to resolve a dispute under these Terms with mediation. Find more details about the mediators we're willing to engage with and instructions about how to request mediation here. Except as required by applicable law, mediation is voluntary and neither you nor Google are obliged to settle disputes through mediation.
13. Raising Issues with Public Authorities
Nothing in these Terms prevents you from raising issues with any relevant public authority regarding non-compliance with the law. To the extent this Section conflicts with any other part of the Terms, this Section will govern.
14. Order of Precedence
Subject to Section 13, if there is a conflict between these Terms and the Policies referenced in these Terms, then the documents will control in the following order (1) the Terms and (2) the Policies.
