These Terms of Service (“Terms,” “Terms and Conditions”) govern your relationship with Sheetgo’s services and products (the “Service”) operated by Sheetgo (“us”, “we”, or “our”).
Please read these Terms and Conditions carefully before using the Service.
Your access to and use of the Service is conditioned on your acceptance of and compliance with these Terms. These Terms apply to all visitors, users, and others who access or use the Service.
You agree to be bound by these Terms by accessing or using the Service. If you disagree with any part of the terms, you may not access the Service.
Identity
According to Law 34/2002, 11 July, regarding Information Technology Services and Electronic Commerce, Sheetgo informs that its official name is SHEETGO EUROPE, S.L. – its trade name is SHEETGO. Its fiscal identity number is ESB87085262. Its registered office is Muelle de la Aduana, Edificio Lanzadera – 46024 – Valencia, Spain. It is registered with the SHEETGO Registry of Madrid Volume 32644, Page 11, Section 8, Sheet M-587590.
Communication
The following methods may be used to contact us: Any email address from the sheetgo.com domain name or postal address: Muelle de la Aduana s/n – Edificio Lanzadera, postal code 46024 of Valencia, Spain.
Any notification and communication between users and Sheetgo shall be considered effective whenever conducted through any of the methods above.
Intellectual property
The Service and its original content, features, and functionality remain the exclusive property of Sheetgo and its licensors. The Service is protected by copyright, trademark, and other laws in Spain and foreign countries. Our trademarks and trade dress may not be used in connection with any product or service without Sheetgo’s prior written consent.
Links to other websites
Our Service may contain links to third-party websites or services not owned or controlled by Sheetgo.
Sheetgo has no control over and assumes no responsibility for any content of third-party websites or services, privacy policies, or practices. You further acknowledge and agree that Sheetgo shall not be responsible or liable, directly or indirectly, for any damage or loss caused or alleged to be caused by or in connection with the use of or reliance on any such content, goods, or services available on or through any such websites or services.
We strongly advise you to read the terms and conditions and privacy policies of any third-party websites or services you visit.
Third-party services
The Services may depend upon, interact with, or enable access to third-party services (e.g., Google services). Sheetgo does not guarantee the availability or functionality of such third-party services and is not responsible for any disruption, failure, or malfunction caused by these services. Your use of third-party services is subject to the terms and conditions of those third parties.
Subscriptions
Some parts of the Service are billed on a subscription basis (“Subscriptions”). You will be billed in advance on a recurring and periodic basis (“Billing Cycle”). Billing cycles can be set as monthly or yearly, depending on the type of subscription plan you select when purchasing a Subscription.
Your subscription will automatically renew at the end of each Billing Cycle unless you cancel it. You may cancel your Subscription renewal through your online account management page.
A valid payment method, including credit card or bank transfer, is required to process the payment for your Subscription. You shall provide Sheetgo with accurate and complete billing information, including full name, address, state, zip code, telephone number, and valid payment method information.
Should automatic billing fail to occur, Sheetgo will issue an electronic invoice indicating that you must proceed manually within a specific deadline, with the full payment corresponding to the billing period indicated on the invoice.
Localized pricing and use of VPN/Proxy services
Our Service may offer localized pricing to reflect economic conditions specific to different regions. The prices displayed and the currency used are based on your geographic location at the time of purchase.
(a) Pricing by region: You acknowledge and agree that the prices and the currency of the Service may vary depending on the country from which you access the Service.
(b) Prohibition on circumvention: You agree not to use any technology or method, such as a virtual private network (VPN) or proxy, to alter or obfuscate your actual location to obtain the Service at pricing not intended for your region. Such methods are strictly prohibited and constitute a breach of these Terms.
(c) Verification of location: We reserve the right to implement technical measures to verify your geographic location and to enforce the localized pricing policy. In a dispute regarding your location, you may be required to provide proof of your location.
(d) Consequences of circumvention: If it is determined that you have used a VPN, proxy, or any other means to disguise or manipulate your actual location to access a Subscription or pricing not intended for your region, we reserve the right to take any appropriate actions including, but not limited to, adjusting your Subscription fee to the correct pricing for your region, suspending or terminating your account without notice, and/or initiating legal proceedings.
(e) Changes to localized pricing: We may change or discontinue the localized pricing policy without prior notice. Continued use of the Service after any such changes constitutes your consent.
Refunds
For the Sheetgo product license subscription, monthly billing cycles do not qualify for refunds. However, refund requests for yearly billing cycles can be made within 14 days of the payment. Beyond these 14 days, no refund will be issued. In all refund cases for the Sheetgo product license subscription, a 5% fee will be retained to compensate for administrative and payment processing fees.
Please note that Solution Care subscription and Solution implementation services may have distinct refund terms, as detailed below.
Services
This section applies to customers who have contracted Sheetgo Solution Implementation services or have subscribed to Solution Care.
Solution implementation
Scope: The Sheetgo implementation team will initiate the project by conducting meetings to define the project’s scope. Following this, you will receive a Statement of Work (SOW). The SOW must be signed to establish the project’s scope officially. Implementation activities can only commence after the SOW is signed.
Payment, cancellation, and refunds: You will receive detailed payment instructions with the SOW. Implementation activities will only commence upon receipt of the payment. It’s essential to note that no refund options are available after payment. Nevertheless, you do have the flexibility to relocate any remaining budget during the project’s development phase. For instance, if you request a change in scope when the project is 70% complete, the remaining 30% of the budget can be repurposed for the new scope. If the remaining budget falls short of covering the desired scope, additional payments will be necessary to meet the project’s requirements.
Communication: During the project development, you agree to respond to Sheetgo communications within a reasonable timeframe. If sixty (60) days pass from the last communication without a response, and you do not reply to emails or phone calls, the implementation project will be considered completed. Any further changes or requests may result in additional fees. If you change your email address or phone number, inform Sheetgo promptly.
Delivery and satisfaction: Upon project delivery, the Solution shall operate according to the defined scope for 30 (thirty) days after the Delivery Date. If the Solution malfunctions or does not operate according to the defined scope within that time, the Service Provider shall take the necessary steps to fix the issue. You will receive a form from Sheetgo confirming the project receipt and requesting your feedback. If you do not respond to the questions within 14 (fourteen) days, it will be assumed that you have no complaints and are satisfied with the result.
Solution care
Scope: Solution Care is a premium support service Sheetgo provides to enhance your experience with Sheetgo and the solutions built using Sheetgo. It provides you with priority access to Sheetgo’s experts for support, adjustments, fixes, expansion, training, and other services related to your Sheetgo solutions. It includes any solutions created or managed using Sheetgo.
Payment, cancellation, and refunds: Solution Care is billed separately from Sheetgo subscriptions. Payment for Solution Care is recurring annually. You may cancel your Solution Care subscription at any time. Cancellation will be effective at the end of your current billing cycle, and you will not be billed for the subsequent cycle. However, no refunds will be provided for the current billing cycle, and any unused portion of your subscription will not be refunded.
Accounts
When creating an account with us, you must always provide accurate, complete, and current information. Failure to do so constitutes a breach of the Terms, which may result in immediate termination of your account on our Service.
You are responsible for safeguarding the security and integrity of your Google, Microsoft, or Dropbox accounts used to sign in to Sheetgo. Using your account is strictly personal, and you must not share your login credentials with others. Sharing your account, including with colleagues, family members, or friends, is prohibited and may result in suspending or terminating your access to the Service. The email address associated with your account must be accurate and functional, as all email notices from Sheetgo will be sent to that email address.
You must notify us immediately upon becoming aware of any security breach or unauthorized use of your account.
Automatic triggers
In the event of a service interruption, automatic triggers may be paused. Upon restoration of the Services, these triggers may resume or execute pending tasks automatically. Using the Services, you acknowledge and agree that Sheetgo is not liable for any outcomes resulting from resuming such triggers without additional notice. It is your responsibility to manage and monitor your triggers and automation accordingly.
Termination
We may terminate or suspend your account without prior notice for cause, such as unpaid fees or breach of these Terms. If we terminate your account for our convenience, we will provide you with prior notice. In either case, we will not be liable for any damages or consequences resulting from such suspension or termination.
You can do so if you have an active plan subscription and wish to terminate it. However, the subscription will remain valid for the rest of the cycle and will not be automatically renewed.
If you want to delete your account and associated data immediately, you must cancel the subscription and then delete your account. Upon deletion of your account, your right to use the Service will cease. You may discontinue using the Service if you wish to terminate your account.
Disclaimer of Warranties
Sheetgo provides the Services on an “as is” and “as available” basis. Use of the Services is at your own risk. Sheetgo makes no warranties, express or implied, including but not limited to warranties of merchantability, fitness for a particular purpose, or non-infringement. Sheetgo does not warrant that the Services will be uninterrupted, timely, secure, or error-free or that any defects will be corrected. Sheetgo is not responsible for any issues arising from third-party services or outages.
Limitation of liability
To the maximum extent permitted by law, in no event shall Sheetgo be liable for any indirect, incidental, special, consequential, or punitive damages, including but not limited to loss of profits, data, use, goodwill, or other intangible losses resulting from (a) your access to or use of or inability to access or use the Services; (b) any conduct or content of any third party on the Services; (c) any content obtained from the Services; and (d) unauthorized access, use, or alteration of your transmissions or content, whether based on warranty, contract, tort (including negligence), or any other legal theory, whether or not Sheetgo has been informed of the possibility of such damage, and even if a remedy set forth herein is found to have failed its essential purpose.
Force majeure
Sheetgo shall not be liable for any failure to perform its obligations under this Agreement if such failure results from any cause beyond Sheetgo’s reasonable control, including but not limited to acts of God, war, terrorism, civil unrest, government actions, labor disputes, third-party service outages (including but not limited to Google services), internet or utility failures, or any other event of force majeure.
Prohibited use
You may not use Sheetgo for any illegal, fraudulent, immoral, or unethical purposes, including but not limited to:
- Spamming or any form of unsolicited bulk communication.
- Participating in fraudulent activities or schemes.
- Using it for unlawful or malicious purposes.
- Creating, distributing, or sharing content that promotes hatred, discrimination, racism, harassment, or violence.
- Violating any applicable laws, regulations, or third-party rights.
- Generating or sending content that infringes upon intellectual property rights.
- Creating content that is offensive, harmful, or inappropriate.
- Sharing confidential or sensitive information without proper authorization.
- Creating emails or documents that contain malware, viruses, or harmful code.
We encourage the responsible and ethical use of Sheetgo, including:
- Ensuring the accuracy and authenticity of the documents and emails generated or sent.
- Respecting the privacy and consent of recipients when sending emails.
- Using it in compliance with relevant data protection and privacy laws.
Sheetgo reserves the right to terminate a user account in the event of any illegal, fraudulent, immoral, or unethical purposes.
Sheetgo is a connector for apps, databases, and files. You may use Sheetgo to connect to services with different terms of use and billing rules. Sheetgo is not responsible for costs generated in other services you use in conjunction with Sheetgo.
Governing law
These Terms shall be governed and construed by the laws of Spain without regard to its conflict of law provisions.
Our failure to enforce any right or provision of these Terms will not be considered a waiver of those rights. If any provision of these Terms is held invalid or unenforceable by a court, the remaining provisions will remain in effect. These Terms constitute our entire agreement regarding our Service and supersede any prior agreements we might have regarding the Service.
Changes
We reserve the right, at our sole discretion, to modify or replace these Terms at any time. If a revision is material, we will provide at least 30 days’ notice before any new terms take effect. Your continued access or use of our Service after these revisions become effective is your agreement to be bound by the revised terms. If you disagree with the new terms, please stop using the Service.
